Our ERP Application is certified to run on 2003 Server and SQL 2005. When SBS 2008 premium is released, will there be downgrade rights on the second server to run a 2003 member server with SQL 2005 instead of a 2008 member server with SQL 2008?

There will not be "downgrade" rights to run earlier versions for the server OS with SBS 2008. If your ERP application has not been certified on SQL 2008 and Server 2008 by the time you are ready to move to SBS 2008, you will have to come up with the server and SQL licenses on your own.

Depending on when SQL 2008 actually ships, there's a possibility that there may be some sort of workaround for SQL with SBS 2008 Premium, but you're not going to get OS downgrade licenses for sure.

SBS 2008 Premium Edition comes with SQL Server 2008 Standard Edition for Small Business. Can I exercise my downgrade rights and run an earlier version of SQL Server?

A:
No. Components of the SBS solution cannot be separated. However, Microsoft recognizes that Line of Business applications may experience compatibility issues moving from one version to the next, so for approximately one year from SBS 2008’s Release to Manufacturing (RTM) date, we will ship SQL Server 2005 Standard Edition (both 32-bit and 64-bit platforms) in addition to the SQL Server 2008 Standard Edition for Small Business for the customer’s use in order to address these potential issues.

Note that once we stop shipping both versions of SQL Server, customers are restricted from downgrading just the SQL Server component. Our downgrade rights specify that if you downgrade, you must downgrade all the component parts of the server software.
